OnGuardAI Terms of Service

Welcome to OnGuardAI. These Terms of Service ("Terms") constitute a binding legal agreement between you and OnGuardAI Corporation ("OnGuardAI," "we," "us," or "our"). They govern your access to and use of our mobile applications, website, and scam detection services (collectively, the "Services").

 

By creating an account or using our Services, you agree to these Terms. If you do not agree, you may not use the Services.

 

1. Real-Time Call Monitoring & Compliance
1.1 Nature of Service (Ephemeral Processing): You acknowledge that OnGuardAI utilizes artificial intelligence to analyze phone calls, voice mails and in-person conversations in real-time for the sole purpose of scam detection. OnGuardAI performs this processing ephemerally; we do not record, store, or archive audio files or text transcripts of your calls. Once the audio and text are processed for analysis, they are immediately discarded.


1.2 Your Responsibility (Interception & Consent): Even though audio and transcripts are not permanently recorded, the use of OnGuardAI may constitute an "interception" or "monitoring" of the call. You acknowledge that:

  • You are the sole operator of this tool.

  • You are responsible for complying with all applicable laws regarding wiretapping, eavesdropping, and privacy (including "two-party consent" laws).

  • Consent Requirements: Many jurisdictions require the consent of all parties to monitor a call, regardless of whether it is recorded or transcribed.​

1.3 Mandatory Compliance Tools: To assist you with legal compliance, OnGuardAI includes mandatory automated features. By using the Service, you agree that OnGuardAI will:

  • Play an automated verbal announcement at the start of the call advising parties that the call is being monitored or analyzed by AI.

​​

  • You agree not to attempt to block, mute, or circumvent these compliance features.

​​

2. AI Processing & Zero Retention Commitment


We prioritize your privacy and data security through a strict "Zero Retention" policy.
 

2.1 What We Process: Our AI analyzes phone calls and voicemails, and when Face-to-Face mode is enabled, in-person conversations captured through audio. The system processes audio signals and the resulting text transcripts in real time to identify language patterns and behaviors commonly associated with scams.


2.2 Zero Retention Commitment:  OnGuardAI maintains strict contractual agreements with its AI providers, including OpenAI, Anthropic, and others, designed to ensure privacy-first processing and minimal data retention.
 

Real-Time Processing Only: To protect user privacy, all call audio, voicemail recordings, face-to-face mode interactions (when enabled), and any transcripts generated from these sources are processed in real-time solely for the purpose of detecting scams. Once analysis is complete, all data is immediately and permanently discarded.


No Call Content Storage:  OnGuardAI does not store, retain, or replay call audio or full call transcripts. Our AI providers are contractually prohibited from storing call content after real-time processing.
 

No Training on Call Content:  Your call audio and transcripts are not used to train OnGuardAI models or third-party AI models.
 

Limited Metadata Retention

  • OnGuardAI may retain limited, non-content metadata for product improvement, safety, and fraud prevention purposes. Metadata may include:

  • Incoming phone number

​

  • Date and time of the call

​

  • Call duration

​

  • Whether the call was flagged as a likely scam

​

  • A non-verbatim summary capturing the scam pattern and tactics used, with all personally identifiable information (names, addresses, phone numbers, account details, etc.) stripped out before storage

​

  • The risk indicators or red flags that contributed to the classification

​

  • User feedback indicating whether a flagged call was or was not a scam

​

  • Metadata never includes call audio, verbatim transcripts, or sensitive personal content, and is not used to reconstruct conversations.


Model Improvement Using Metadata Only

  • OnGuardAI may use aggregated and anonymized metadata, including user-reported outcomes, to improve detection accuracy and reduce false positives. Call audio and transcripts are never used for model training.

3. Account & Eligibility


Age Requirement: You must be at least 18 years old to use OnGuardAI.

 

Account Security: You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

 

Trusted Contacts: If you choose to add Trusted Contacts, OnGuardAI will send them alerts when a call or voicemail is flagged as high risk. These alerts include limited details such as the time of the call, the type of scam risk detected, and a risk level. Alerts never include call audio, voicemail recordings, or message content. You can add or remove Trusted Contacts at any time.


4. License & Restrictions


4.1 License Grant Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the OnGuardAI application on your personal device.


4.2 Prohibited Activities You agree not to:

  • Use the Services for any illegal purpose.

​

  • Monitor calls without obtaining proper consent where required by law.

​

  • Reverse engineer, decompile, or attempt to extract the source code of the software.

​

  • Use the Services to transmit malware or harmful code.

​

  • Interfere with or overburden our systems.


5. Subscription & Payment

​

  • Billing: Fees are charged in advance on a recurring basis (monthly or annually). By subscribing, you authorize us to charge your payment method.

​​

  • Auto-Renewal: Your subscription automatically renews unless canceled before the renewal date.

​​

  • Cancellation: You may cancel anytime through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.

​

  • Price Changes: We may change pricing with 30 days' notice. Continued use constitutes acceptance.

 

6. Disclaimers & No Guarantee


6.1 "As Is" Service The Services are provided "as is" without warranties of any kind.


6.2 Scam Detection Disclaimer While we strive for accuracy, OnGuardAI does not guarantee that it will detect all scams.

 

  • Scammers constantly evolve their tactics.

  • False positives (marking a safe call as a scam) or false negatives (missing a scam) may occur.

  • You should always use your own judgment. OnGuardAI is a tool to assist you, not a replacement for your own vigilance.

7. Limitation of Liability & Indemnification


7.1 Limitation of Liability To the maximum extent permitted by law, OnGuardAI shall not be liable for any indirect, incidental, or consequential damages, or for any financial losses resulting from a scam we failed to detect. Our total liability to you shall not exceed the amount you paid us in the 12 months prior to the claim.


7.2 Indemnification You agree to indemnify and hold harmless OnGuardAI from any claims, damages, or legal fees arising from:

 

  • Your violation of these Terms.

  • Your failure to obtain necessary consent for call monitoring.

  • Your violation of any third-party rights or laws.


8. iOS / Apple Specific Terms


If you downloaded the App from the Apple App Store:

 

  • Apple’s Role: This agreement is between you and OnGuardAI, not Apple. Apple is not responsible for the App or its content.

 

  • Maintenance: Apple has no obligation to furnish maintenance or support services.

​

  • Warranty: If the App fails to conform to any warranty, you may notify Apple for a refund of the purchase price. To the max extent permitted by law, Apple has no other warranty obligation.

 

  • Third Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.


9. Dispute Resolution, Arbitration & Governing Law


Please read this carefully.

 

  • Governing Law: These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions.

 

  • Mandatory Arbitration: You and OnGuardAI agree to resolve any disputes through binding arbitration conducted by the American Arbitration Association (AAA), rather than in court.

  • Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration.

​

  • Opt-Out: You may opt out of arbitration by sending written notice to legal@getonguard.com within 30 days of accepting these Terms.
